Spencer Spirit Holdings (SSH) has signed a definitive agreement to buy Hot Topic, Inc. and the related brands, BoxLunch, and Her Universe, from Sycamore Partners. After the acquisition SSH will operate “more than 3,000 stores across North America.”


Currently Hot Topic (founded in 1989) operates over 615 stores in the U.S. and Canada; BoxLunch (launched in 2015) operates more than 280 stores in the U.S.; and Her Universe (launched in 2010) is described as a brand “focused on creating quality, fandom-centric apparel and accessories,” according to the Sycamore Partners announcement. Hot Topic CEO Steve Vranes “will remain in his role, overseeing the three brands’ day-to-day operations and strategic growth alongside his executive team.”  


Spirit Halloween (founded in 1983) operates more than seasonal 1,550 locations; while Spencer’s (founded in 1947) operates more than 650 locations. Spirit Christmas (introduced in 2024) plans to operate 44 locations this holiday season. SSH CEO Steven Silverstein explained that “joining forces creates an incredible platform of distinctive, established brands that share a passion for product, storytelling, and customer experience. While our operating models and strategies cater to unique and different audiences, our core values, mission, and commitment to innovation are completely aligned. This transaction enhances our long-term durability, broadens our reach, and positions us to write the next chapter of retail history together.”
